1 - Introduction

Our mission is to connect companies in the Alternative Protein industry with potential candidates, by offering a platform in which we enable information about career positions in the industry and the possibility to apply, and eventually offer a way to increase a candidate’s fit and become more successful.

By using our website and services, you accept our following Terms of Use. Please, contact us here should you have any questions or concerns regarding the information below. Our Privacy Policy can be found here.

2 - Scope

These Terms of Use of Tälist UG, Berlin, Germany (hereafter referred to as “Tälist” or “we”) apply to the contractual agreement (hereinafter referred to as the “Agreement”) between Tälist on the one hand and the user (also referred to as “users” or “you”) on the other hand, who is interested in the service that is offered at www.talist.net (also referred to as “platform”) or any website of Tälist that display these Terms of Use (collectively referred to as “services” hereinafter). If you do not accept our Terms of Use, you cannot use our services and should cease any further use.

You agree that by clicking “Register Now”, “Post your resume”, “Post a position” or similar, registering, accessing, or using our services (described below), you are agreeing to enter into a legally binding contract with Tälist (even if you are using our services on behalf of a company). If you do not agree to this agreement, do not click “Register Now” (or similar) and do not access or otherwise use any of our Services. If you wish to terminate this contract, at any time you can do so by closing your account and no longer accessing or using our Services.

3 - Purpose

This platform contains general information on jobs and career possibilities in the alternative protein industry worldwide, relevant companies, as well content based on research conducted both by us and other organizations. The platform indicates further details on services, which include but are not limited to fostering a community for potential candidates, recruitment (both actively by matching candidates with positions, and passively by providing a platform through which candidates can register and apply both through the platform and externally). These services and access to the information are free unless otherwise indicated, and are subject to change. For purchasing or using these services you may be referred to the respective Tälist websites or pages.

4 - Accounts

Some of our services on our platform require you to create an account in order to make certain kinds of, or any, use of the service. All our accounts are subject to the following rules.

You must be at least 18 years old to register an account with Tälist.

If asked for any personal details, you must answer truthfully (see our privacy policy for what we do with those details). You must supply us with a valid e-mail address.

You are responsible for the security of your accounts and making sure that any contact details in the account are kept up to date. If we need to contact you but are unable to do so, for example, because your e-mail address is no longer valid, then any consequences of that failure will be your responsibility.

You must not let anyone else use your account. If pressure is applied to you to do so — for example, if anyone, including an employer, demands your username and password — please inform them that their attempt to subvert your agreement with us will mean that they have no permission to use any of our services. We may take action if they use our services using an account they have obtained in this way.

You must let us know of any unauthorized use of your account as soon as you are able to after becoming aware of it. As we take security and privacy seriously, we will attempt to offer support in addressing any security breaches.

Unless an account is associated with a paid-for service, we may suspend or terminate it at any time. Equally, you may close your account at any time.

When registering for an account or using our platform and services in any way, you agree to the following:

Not to post, upload or submit in any way content and media which is illegal either where you are in the world, or where we are, or any content and media which is not directly relevant to the functionality or service used

Not to upload any attachments that contain worms or viruses, or are otherwise malignant or damaging in nature

Personal details provided to us should not contain sensitive personal information according to Art. 9 GDPR

Cause nuisance to other users of our services; this includes but is not limited to spamming users, providing incorrect information knowingly, and applying to positions on the job portal with no serious interest in the candidature

You must not send us defamatory or slanderous information and must not infringe the rights of third parties, contravene official regulations or breach public policy (“Illegal Content”)

Interfere with the normal running of our services

Try to access our systems in a way other than those advertised by us and, in particular, to use a web crawler that does not respect the robots exclusion policy

5 - Intellectual Property and other informational rights

This platform contains many types of data, code, and other information, which are protected by applicable copyright laws. The platform may also contain personal information about our leadership, team members, or content creators, such as their names and photos; additional laws in regard to their informational rights and freedoms, such as data protection laws, may apply. Next to this, our service offers information on companies and candidates, either publicly accessible or upon registration as a company. This data is protected under data protection laws.

It is therefore not permitted to crawl, download, copy, or distribute the whole or any part of this platform. However, we do permit you to make technical copies for the purposes of reading or browsing, we offer sharing possibilities through email and various social networks, and you may also make permanent copies or physical print-outs for your personal use. Where we provide code, e.g. API-code, the use of this code is only permitted within the limits of the applicable laws, contracts that we have concluded with you, or instructions that have been made available to you or the public. Except as expressly provided in these Terms of Use, no part of the platform and no content may be otherwise copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, or distributed in any way (including “mirroring”) to any other computer, server, website or another medium for publication or distribution or for any commercial enterprise, without our express prior written consent. All text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, artwork, and proprietary computer code (collectively, “Content”), including but not limited to the design, structure, selection, coordination, expression, “look and feel” and arrangement of such content, contained on the site is owned, controlled or licensed by or to Tälist, and is protected by copyright and trademark laws, and various other intellectual property rights and unfair competition laws.

Legal provisions that give you the right to use the content of this platform, in particular, press and copyright law, remain unaffected.

Any content that you provide to us will be processed in accordance with your request and may be reproduced and distributed within the Tälist platform and stored for the purpose of processing your request. If you wish to restrict this processing or if the content contains confidential information, you are obliged to inform us in advance when transmitting your content. A restriction on the processing of transmitted content can also be communicated to us in writing after the transmission of the content and we will implement this restriction as far as possible. However, a subsequently communicated restriction does not constitute the illegality of the previous processing.

Any data pertaining to yourself or the company you represent which might be incorrect or should be removed can be amended or removed upon your request. Please contact us to address these questions.

6 - Content

We are liable for the content on our platform to the extent that this is governed by the applicable law. However, we do not accept any liability for the accuracy, completeness, suitability for a particular purpose, or currency of the information published.

Downloads shall be entirely at your own risk. We shall not be liable for any damage which may result from the download, installation, storage, or use of software or content from our platform not due to our fault. Although we have measures and policies in place to ensure maximum safety for the users of our platform and services, any liability for damage or disturbance of functionality caused by viruses, worms, or otherwise malignant software is excluded to the extent permitted by the applicable law.

If you follow an external link and thereby leave our platform, the content of such other websites is beyond our control and influence. We do not accept liability for this. If it comes to our attention that links published on our platform contain illegal content, we will disable the link after investigation and verification of its illegality. Please note that the terms of use and privacy statements of such linked sites differ from the Terms of Use and Privacy Statement of our platform. Therefore, you should read and comply with the privacy statements and terms of use posted on linked sites.

7 - Rights Reserved by Tälist

Tälist does not warrant that the services offered on its platform are available at certain or all times. Disturbances, interruptions, or a possible breakdown of the online service cannot be excluded by Tälist.

Systematic backups of our database are carried out regularly and stored securely. In so far as you transfer data to Tälist – regardless of type – we recommend that you store safety backup copies of your own data.

We reserve the right to change, extend, limit, or withdraw our services or to delete data without notice at any time. You have no right to claim publication.

9 - For Customers and Partners

Within this section, a "Customer" is defined as any user of our platform who is not signing up as a candidate. "Customer" also includes organisations which embed content from Tälist on their website. "The Parties" refers to the Customer and Tälist.

a. Software Access; Restrictions

a.1 We grant the Customer a limited, non-transferable and non-exclusive right to access and use Tälist’s proprietary and hosted software products and the related documentation (the “Software” or “Service”) via a web browser.

a.2 Tälist is hosting the Service and makes the Service available to you for usage via a web browser. Nothing contained in any Agreements with the Customer shall transfer any rights in or to the Service other than those rights specifically mentioned in them. Tälist is not obligated to make available or deliver any copies of programs or code in any way, shape or form.

a.3 You shall not (i) copy, modify, alter or create derivative works from the Service; (ii) lease, rent, distribute, or resell the Service; (iii) or use the Service as the basis for creating a competitive solution (or assisting a third party to do so). You will use the Service in compliance with your applicable local, regional, national, and international laws, rules and regulations.

a.4 You shall not, personally or via third-party authorization, (i) use the Service to upload or distribute any content that is unlawful, fraudulent, defamatory, abusive, contains viruses, or is otherwise objectionable as reasonably determined by Tälist; (ii) resell, reproduce, duplicate or exploit any part of the Service without our express written permission; or (iii) use any robot, spider, another automated or manual process to monitor or copy any content from the Tälist’s software.

b. Data Protection; Indemnification

b.1 The safety of your data is a priority to Us. You can see how We protect and handle your data in our Privacy Policy.

b.2 We are obligated to observe and are working in accordance with Germany’s data protection laws.

b.3 In the event your data has been breached, you will be promptly notified of the nature and scope of such breach and We will immediately initiate remedial actions consistent with industry standards.

b.4 Tälist shall be liable for any damage caused by data processing or handling only where we have not complied with GDPR obligations specifically directed to processors or where we have acted against lawful instructions from You.

b.5 For detailed insights into the measures employed by Tälist to assure data protection and data safety in alignment with the General Data Protection Regulation (GDPR), parties are referred to the “Documentation: Tälist Platform GDPR Compliance”. TThis document provides a comprehensive overview of our data protection strategies and standards and is available upon request. Information regarding our data processors is available in our Privacy Policy. It is incumbent upon Customers to review these documents to understand our practices and their implications thoroughly. Tälist reserves the right to amend these documents to reflect any changes in our practices or legal obligations, with notifications being sent out for significant modifications. Users are encouraged to stay informed and reach out for any clarifications on our data protection practices.

c. Proprietary Rights

c.1 Tälist owns all rights, titles and interests in and to the Software including without limitation all intellectual property rights, and such rights are protected by Germany’s intellectual property laws.

c.2 Tälist retains all rights, titles and interests in and to the Software and/or Service as well as modifications and/or enhancements, regardless of whether you have provided inspiration or input regarding such events.

c.3 Tälist retains all rights, titles, and interests to all data retrieved and/or uploaded via Tälist sites that users are redirected to, including but not limited to user, company, job, and candidate data. This encompasses any interactions or data exchanges occurring on Tälist platforms.

d. Employee Responsibility; Illicit Use of the Service

d.1 Tälist provides software services designed to assist with HR functions, but it does not make decisions or exercise any control over specific HR practices, employment decisions, or any other operational processes of the user. The user maintains full autonomy and responsibility for all decisions made and actions taken based on the utilization of Tälist’s services and agrees to use such services at their own risk.

d.2 It is your sole responsibility to monitor your company’s compliance with all applicable laws when using our Software and/or Service.

d.3 Uploaded content and information must be consistent with your applicable laws. Any and all uploads that may cause harm to our interests or public image are not permitted. This especially applies to the following: uploading content in contravention to any applicable data protection, criminal, and copyright laws as well as personality and commercial protection rights; uploading content of any defamatory, harassing, fraudulent, libelous, obscene, virus-containing, unconstitutional, sexist, racist, or pornographic nature.

d.4 In the event that an obligation is violated by the Customer, we shall, after having issued a prior warning, have the right to restrict access to our Software and/or Service until the Customer ceases the violation and remedies any relevant consequences.

d.5 You will be held responsible for the Actions of your employees using our Service. You shall indemnify us from any and all claims asserted by other Users, other Customers or other third parties on account of illicit use of the Service by you or any of your employees.

e. Liability Limitation

e.1 We shall be liable for damages caused by us only if such damages are:

- caused by gross negligence, malicious intent, or malicious deception,

- caused by breach of fundamental contract obligations, which are the basic duties forming the essence of the Agreement and were decisive for the conclusion of such Agreement. In case of breach of fundamental contract obligations through simple negligence the ensuing liability for damages shall be limited to the foreseeable amount.

e.2 We shall also be liable for any guarantees assumed by us being violated, pursuant to the scope of the agreed guarantee.

e.3 Any liability not expressly provided for in the TOU or any other bilateral agreement between the Parties shall be disclaimed.

f. Term Activation and Termination

f.1 The TOU and any other bilateral agreement between the Parties become effective upon commencement of your subscription to the Software and/or Service and/or the moment of creating an account with us (“Effective Date”) and apply in full until all services granted in accordance with the TOU or with other bilateral agreements between the Parties have expired or been terminated.

f.2 We may terminate or suspend your access to the Service without liability if such termination or suspension is based on our good faith belief that you have violated any of the clauses in the TOU or any other bilateral agreement.

f.3 Any notice of termination must be delivered in text form (e.g. via e-mail) in order to be effective.

g. Resolving Disputes

g.1 In the event of any dispute, claim, question, or disagreement arising from or relating to the TOU or any other bilateral agreement between the Parties or the breach thereof, the Parties hereto shall use their best efforts to settle such disputes, claims, questions, or disagreement. To this effect, they shall consult and negotiate with each other, in good faith and understanding of their mutual interests, to reach a just and equitable solution satisfactory to both Parties.

g.2 If the Parties do not reach a solution within a period of sixty (60) days from the time informal negotiations commence under the above clause, either Party may initiate mediation proceedings under the German Mediation Act (MediationsG) or any subsequent equivalent legislation.

g.3 If mediation is unsuccessful, the dispute shall be finally resolved by the courts of Germany (Landgericht Berlin). The Parties agree to submit to the exclusive jurisdiction of the German courts for the resolution of any disputes arising under the TOU or any other bilateral agreement between the Parties.

g.4 The Parties have agreed that all agreements between the Parties, including the TOU and all related documents be drafted in English. In the event of a dispute, the English version of the agreement will prevail.

h. Applicable Law

All agreements between the Parties, including the TOU, shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of laws principles. This does not impede the application of mandatory consumer protection laws at the seat of the consumer (as defined in § 15 German Civil Code).

8 - Privacy

Tälist complies with GDPR and takes privacy seriously. Please ensure to familiarise yourself with our privacy policy.

Certain features or services offered on or through the platform may require you to open an account and provide personal information. You are entirely responsible for maintaining the confidentiality of the information you hold for your account, including your password, and for any and all activity that occurs under your account as a result of your failing to keep this information secure and confidential. You agree to notify us immediately of any unauthorized use of your account or password, or any other breach of security.

You may not use anyone else’s login, password, or account at any time without the express permission and consent of the holder of that login, password, or account. Tälist cannot and will not be liable for any loss or damage arising from your failure to comply with these obligations.

10 - Miscellaneous

You agree to use the Internet at your own risk. We have no liability for any downtimes on our platform caused by technical problems or access to the internet.

We expressly prohibit hiring agencies, recruitment firms, and other entities operating in the field of recruitment from utilizing any aspect of our services. This prohibition extends to the creation and use of both company accounts on our website and candidate accounts that are established on behalf of such companies, or for the purposes of gathering information under the guise of personal use. While the registration of individual employees of such firms for their personal job search endeavors is permitted, the use of our services, including the "job alert" feature, by these organizations for commercial recruitment purposes is strictly forbidden. Should such a company wish to engage with our services, we welcome them to reach out to us directly through our contact form available on the website.

The TOU and its interpretation shall be governed by German law. The exclusive place of jurisdiction is Berlin, Germany (Landgericht Berlin). However, if you are a consumer within the meaning of Article 6 (2) of Regulation (EC) no 593/2008, this choice of law may not deprive you of the protection granted by mandatory provisions under the law that would have been applicable (in the absence of a choice of law). We reserve the right to amend these Terms of Use from time to time. The invalidity or incompleteness of any individual provision of these Terms of Use will not affect the validity of the remaining terms.

These Terms Of Use replace all other terms of use previously applicable to the use of our website.
